Please read these Terms of Service carefully before booking a consultation or engaging any services offered by Dan Wingnga. By accessing this website or using our services, you agree to be bound by these terms. If you do not agree, please do not use this website or engage our services.


1. About These Terms

These Terms of Service (“Terms”) govern the relationship between Dan Wingnga (“Strategist,” “we,” “us,” or “our”), operating at danwingnga.com, and any individual or business (“Client,” “you,” or “your”) who visits this website, books a free consultation, or engages our paid Meta Ads strategy and management services.

These Terms apply alongside any separate service agreement, onboarding questionnaire, or proposal issued to the Client. In the event of a conflict, the signed service agreement takes precedence over these Terms.


2. Services Provided

Dan Wingnga offers done-for-you Meta Ads strategy and campaign management services, which may include:

  • Campaign strategy and planning
  • Competitor and audience research
  • Creative direction and ad copywriting
  • Meta Ads Manager setup and pixel tracking
  • A/B testing and ongoing optimization
  • Retargeting and intelligent scaling
  • Transparent performance reporting
  • Daily performance monitoring
  • Ongoing consultation and support

The exact scope of services for each engagement is defined in a separate proposal or service agreement provided upon onboarding. We reserve the right to modify, update, or discontinue any service or offering at any time, with reasonable notice to active Clients.


3. Free Consultation

The free 15-minute consultation offered on this website is a discovery call to determine whether our services are a mutual fit. Booking a free consultation does not create a binding service contract, guarantee availability, or obligate either party to proceed with a paid engagement.

We reserve the right to decline any engagement at our discretion if we determine that the services are not suitable for the Client’s needs, business type, or budget.


4. Client Responsibilities

To enable us to perform the services effectively, the Client agrees to:

  • Provide accurate and complete information during onboarding and throughout the engagement
  • Grant necessary access to Meta Business Manager, Facebook Page, Instagram account, and any other required platforms
  • Fund the advertising account with the agreed-upon ad spend — all ad spend is paid directly to Meta and is entirely separate from service fees
  • Respond to requests for materials, approvals, feedback, or information in a timely manner
  • Ensure all products, services, and business practices comply with Meta’s Advertising Policies and applicable laws
  • Notify us immediately of any material changes to the business, offer, or marketing goals

Delays or failure to fulfil these responsibilities may affect campaign performance timelines. We are not liable for results affected by Client-side delays or non-compliance.


5. Ad Spend & Budget

All advertising costs paid to Meta (Facebook and Instagram) are the sole responsibility of the Client. These costs are separate from any service or strategy fees paid to Dan Wingnga and are billed directly by Meta to the Client’s payment method on file with their Meta account.

Dan Wingnga does not hold, manage, or have custody of Client advertising funds. We are not responsible for Meta billing errors, unexpected charges, or ad account restrictions imposed by Meta.

The minimum recommended ad spend is flexible and will be discussed during onboarding. Clients may begin with a budget as low as $5 per day per ad set, and budgets can be scaled as results are validated.


6. Fees & Payment

Our pricing consists of a one-time setup fee that covers the strategic foundation of your campaigns — including research, setup, creative direction, pixel tracking, and campaign structure. Ongoing management fees, if applicable, are outlined in the individual service agreement.

  • All fees are quoted in the currency specified in the proposal or service agreement
  • Payment is due as specified in the service agreement or invoice
  • We reserve the right to pause or suspend services if payment is not received within the agreed timeframe
  • All fees paid are non-refundable except where explicitly stated in the service agreement or required by applicable law

Performance Guarantee: If campaigns do not generate results within the first month after launch, the strategy and setup fee may be waived or refunded as specified in your individual service agreement. This guarantee applies only where expressly included in writing.


7. No Guarantee of Specific Results

Digital advertising inherently involves uncertainty. While we employ proven strategies, diligent optimization, and data-driven decision-making, we cannot guarantee specific results such as a defined ROAS, number of leads, sales, or revenue.

Past results shared on this website (including case studies, testimonials, and performance statistics) represent historical outcomes and are not a guarantee or prediction of future performance. Results may vary based on factors outside our control, including but not limited to:

  • Ad budget size and consistency
  • Quality of the Client’s offer, product, or service
  • Website or landing page conversion rates
  • Meta platform algorithm changes
  • Market conditions and competitive landscape
  • Ad account history and Meta’s trust score
  • Seasonal demand fluctuations

8. Meta Platform Compliance

All campaigns will be managed in accordance with Meta’s Advertising Policies. The Client is responsible for ensuring that their business, products, services, and any content provided for use in ads comply with Meta’s policies, all applicable laws, and these Terms.

We reserve the right to decline to run any ad, campaign, or creative that we believe violates Meta’s policies or applicable law. If an ad account is suspended, restricted, or banned by Meta due to Client policy violations, Dan Wingnga is not liable for resulting losses, and fees already paid are non-refundable.


9. Intellectual Property

All website content, including text, graphics, logos, strategy frameworks, and materials published on danwingnga.com, are the intellectual property of Dan Wingnga and are protected by applicable copyright and intellectual property laws. Unauthorised reproduction, distribution, or use of any content is prohibited.

Creative work, ad copy, audience strategies, and campaign materials developed specifically for a Client during the engagement are delivered for the Client’s use in their campaigns. Dan Wingnga retains the right to reference the engagement in portfolio materials or case studies in anonymised or consented form, unless the Client requests otherwise in writing.


10. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information disclosed during the engagement. This includes but is not limited to business strategies, financial data, campaign performance metrics, and customer data.

Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except where required by law or regulation.


11. Limitation of Liability

To the fullest extent permitted by applicable law, Dan Wingnga shall not be liable for any indirect, incidental, consequential, special, or punitive damages — including but not limited to lost profits, lost revenue, or loss of data — arising out of or related to these Terms or the services provided, even if we have been advised of the possibility of such damages.

Our total cumulative liability to the Client for any claims arising out of or related to these Terms shall not exceed the total service fees paid by the Client in the three (3) months preceding the claim.


12. Termination

Either party may terminate the service engagement by providing written notice as specified in the individual service agreement. Upon termination:

  • Any outstanding invoices for services rendered become immediately due and payable
  • The Client retains access to their own Meta Ads accounts and any campaign assets created for them
  • Dan Wingnga will cease management activities on the agreed end date
  • No refunds will be issued for any portion of the setup fee or any management fees already paid

We reserve the right to terminate the engagement immediately, without refund, if the Client engages in conduct that is unlawful, violates Meta’s policies, or is otherwise harmful to our business or reputation.


13. Privacy

Your use of this website and our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the data practices described in our Privacy Policy.

We do not sell or share your personal information with third parties for their marketing purposes without your explicit consent.


14. Disclaimer of Warranties

This website and all services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the website will be error-free, uninterrupted, or free of viruses or other harmful components.


15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the services provided shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the appropriate courts of competent jurisdiction in the Philippines.


16. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When changes are made, we will update the “Last Updated” date at the top of this page. Continued use of this website or our services after the updated Terms are posted constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. For active Clients, material changes will be communicated via email.
